These Terms of Use (“Terms”) govern your access to and use of the AgileDocs website, platform, hosted workspaces, APIs, documentation tools, AI-assisted features, and related services (collectively, the “Services”) provided by TechWrite Solutions LLC (“AgileDocs,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.
If you access or use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to that entity.
AgileDocs provides hosted documentation, knowledge management, publishing, and machine-readable or AI-assisted documentation services for business and operational use.
We may modify, improve, suspend, or discontinue any part of the Services at any time, with or without notice.
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. You may not use the Services if doing so would violate applicable law or regulation.
You may need to create an account or provide registration information to use some features of the Services. You agree to provide accurate, current, and complete information and to keep it updated.

We may suspend or restrict access if we reasonably believe your account is compromised or being used in violation of these Terms.
“Customer Content” means any data, text, files, documents, prompts, instructions, images, metadata, configurations, or other materials that you upload, submit, transmit, store, publish, or otherwise make available through the Services.
You retain all right, title, and interest in and to your Customer Content. AgileDocs does not claim ownership of your Customer Content.
You grant AgileDocs a limited, non-exclusive, worldwide license to host, copy, process, transmit, display, reformat, back up, and otherwise use your Customer Content solely to:
You represent and warrant that you have all rights, permissions, and authority necessary to provide the Customer Content and to authorize AgileDocs to process it under these Terms.
AgileDocs may use third-party AI model and infrastructure providers to process Customer Content solely as necessary to provide the Services and requested functionality.
With respect to Customer Content:
AI-assisted outputs may be incomplete, inaccurate, biased, or unsuitable for your intended use. You are solely responsible for reviewing, validating, and approving any output before relying on it.
Notwithstanding the foregoing, if AgileDocs or its personnel separately submit Customer Content through support, bug-reporting, or feedback channels outside the ordinary service workflow, such materials may be subject to the terms and handling practices governing those channels.
AgileDocs will use commercially reasonable administrative, technical, and organizational safeguards to protect Customer Content from unauthorized access, use, or disclosure.
You agree not to upload or submit:

If you choose to submit sensitive or regulated information without such written agreement, you do so at your own risk.

As between you and AgileDocs, AgileDocs and its licensors own all right, title, and interest in and to the Services, including all software, code, interfaces, workflows, templates, site design, branding, graphics, text, and other materials made available by AgileDocs, excluding Customer Content.
Subject to your compliance with these Terms, AgileDocs grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable service term for your internal business purposes.
No rights are granted except as expressly stated in these Terms.
If you provide suggestions, ideas, enhancement requests, recommendations, or other feedback, AgileDocs may use them without restriction, attribution, or compensation to you.
If you purchase paid Services, you agree to pay all applicable fees in accordance with the pricing, order form, proposal, invoice, statement of work, or other commercial terms presented to you.
Unless otherwise stated in writing:
The Services may interoperate with or include third-party hosting, AI, analytics, payment, authentication, or other external services, including services provided by third-party AI model and infrastructure providers and other subprocessors. AgileDocs is not responsible for third-party services and does not warrant or endorse them except as expressly stated in these Terms.
Your use of third-party services is governed by those third parties’ own terms and privacy policies, where applicable.
AgileDocs may offer beta, preview, trial, experimental, or pre-release features. Those features may be incomplete, changed, interrupted, or discontinued at any time.
Beta and preview features are provided strictly “as is,” with no warranty, support commitment, uptime commitment, or obligation to continue making them available.
AgileDocs will use commercially reasonable efforts to make the Services available, but does not guarantee uninterrupted, error-free, or secure operation.
The Services may be unavailable from time to time due to maintenance, upgrades, outages, vendor failures, security events, force majeure events, or other causes beyond AgileDocs’ reasonable control.
Unless expressly stated in a separate written agreement, no service level agreement applies.
The Services, including any AI-assisted output, templates, summaries, or recommendations, are provided for informational and operational purposes only and do not constitute legal, compliance, audit, tax, financial, medical, or other professional advice.
Use of the Services does not create any attorney-client, auditor-client, fiduciary, or similar advisory relationship.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGILEDOCS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR RESULTS.
AGILEDOCS DOES NOT WARRANT THAT:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGILEDOCS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGILEDOCS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED:
THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE, OR IT IS PERMANENTLY BARRED.
You agree to defend, indemnify, and hold harmless AgileDocs and its affiliates, officers, directors, employees, contractors, and service providers from and against any claims, damages, liabilities, losses, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

You may stop using the Services at any time.
Upon termination:
These Terms and any dispute arising out of or relating to the Services or these Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws principles.
Any legal action or proceeding arising out of or relating to the Services or these Terms must be brought exclusively in the state courts located in King County, Washington, or the federal courts located in the Western District of Washington, and each party irrevocably submits to the personal jurisdiction and venue of those courts.
You acknowledge that a breach of these Terms, including misuse of the Services, infringement of AgileDocs’ intellectual property rights, or unauthorized disclosure or misuse of confidential information, may cause irreparable harm for which monetary damages may be inadequate.
Accordingly, AgileDocs may seek injunctive or equitable relief, in addition to any other remedies available at law or in equity.
AgileDocs will not be liable for any delay, failure, or interruption resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or hosting failures, power outages, vendor failures, governmental actions, or cyber incidents not caused by AgileDocs’ gross negligence or willful misconduct.
We may update these Terms from time to time. If we make material changes, we will post the revised Terms and update the Effective Date above.
Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.
These Terms constitute the entire agreement between you and AgileDocs regarding the Services, except to the extent a separate written agreement applies.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
AgileDocs’ failure to enforce any provision is not a waiver of that provision.
You may not assign or transfer these Terms without AgileDocs’ prior written consent. AgileDocs may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
There are no third-party beneficiaries to these Terms.
